Terms and Conditions

1. Acceptance of Terms

These Terms & Conditions (the “Terms”) form a binding agreement between you and Strategic11 LLC doing business as Vorzex Labs (“Vorzex,” “we,” “us,” or “our”) concerning your access to and use of vorzexlabs.com and any related pages, accounts, checkout functions, communications, content, and services that link to these Terms (collectively, the “Site”).

By accessing the Site, creating an account, placing an order, or affirmatively accepting these Terms, you acknowledge that you have read, understood, and agree to be bound by them and by policies expressly incorporated by reference. If you do not agree, do not use the Site or place an order.

Certain provisions require affirmative acceptance at checkout or account creation. Headings are for convenience and do not limit the provisions they introduce.

2. Website Use

We grant you a limited, personal, revocable, nonexclusive, nontransferable license to access and use the Site for lawful purposes and in accordance with these Terms. The Site may be changed, restricted, suspended, or discontinued as permitted by law.

Information on the Site is general commercial and product information. It is not a substitute for professional legal, regulatory, scientific, safety, or medical advice.

3. Account Creation and Security

You may be required to create an account. You agree to provide accurate, current, and complete information; maintain the confidentiality of credentials; restrict access to your devices; and promptly notify us of suspected unauthorized use. You are responsible for activity conducted through your account to the extent permitted by law.

We may require identity, age, address, payment, or fraud-prevention verification. We may reject duplicate, automated, deceptive, or otherwise noncompliant registrations. Account access is personal and may not be sold, transferred, or shared for unauthorized purchasing.

4. Eligibility

You must be at least 18 years old, possess legal capacity to enter a binding contract, and meet all other eligibility criteria stated on the Site. By using the Site or ordering, you represent and warrant that you satisfy these requirements.

We do not knowingly permit purchases by minors. Age verification is a contractual control and does not replace any product-specific, jurisdiction-specific, or legally required verification.

5. United States-Only Restrictions

The Site and sales are directed only to persons located in, and orders shipped to valid addresses within, the United States and its permitted territories only if expressly enabled at checkout. We do not accept international orders or ship outside approved United States destinations.

We may restrict sales to particular states, territories, addresses, institutions, persons, or customer categories. Availability on the Site does not mean a product may lawfully be purchased, possessed, received, used, transferred, or resold in every jurisdiction.

6. Intended Use and Research-Use Provisions

Products identified as intended for research use are offered only for the stated, lawful, non-clinical research purpose described in applicable product information. Unless expressly and lawfully authorized in writing, such products are not offered for human or veterinary consumption, administration, diagnosis, prevention, cure, mitigation, treatment, or other clinical use; food, drug, cosmetic, household, or consumer use; compounding; resale for any prohibited use; or use in violation of applicable law.

A “research use only” label or disclaimer does not independently make a product or its marketing lawful. The lawfulness of conduct may turn on the product, objective intended use, representations, surrounding marketing, customer knowledge, distribution practices, and other facts. We reserve the right to request information, limit quantities, decline or cancel orders, or suspend accounts when an order or pattern of conduct presents legal, safety, fraud, diversion, or policy concerns.

No provision of these Terms authorizes conduct prohibited by law. If the stated intended use is inconsistent with the actual product, marketing, transaction, or applicable legal requirements, the applicable law controls.

7. No Medical Advice; No Therapeutic Claims

The Site does not provide medical advice, diagnosis, treatment recommendations, dosing instructions, protocols for human or animal use, or a clinician-patient relationship. Product names, scientific references, test data, articles, links, customer communications, or other materials must not be understood as a recommendation or representation of safety, effectiveness, approval, or suitability for human or veterinary use.

Do not disregard professional advice or delay seeking it because of information on the Site. In an emergency, contact appropriate emergency services. Nothing in these Terms is intended to limit rights that cannot lawfully be limited.

8. Ordering and Order Acceptance

Your order is an offer to purchase subject to these Terms and all posted policies. An order acknowledgment is not acceptance. We may accept an order by shipping the product or otherwise expressly confirming acceptance. We may refuse, limit, hold, or cancel any order before acceptance, including for inventory, pricing, payment, verification, legal, policy, shipping, or suspected misuse concerns.

Quantity limits may apply by product, customer, account, address, payment instrument, or time period. You must review all order information before submission and promptly report any error.

9. Pricing, Taxes, and Errors

Prices, promotions, specifications, and availability may change without notice before order acceptance. Prices are shown in U.S. dollars unless stated otherwise. Applicable sales, use, excise, or similar taxes and shipping charges will be displayed or calculated where required.

We may correct typographical, pricing, description, inventory, coupon, tax, or other errors and cancel affected orders before or, where permitted by law, after acceptance. If payment was captured for a canceled order, we will issue the appropriate refund to the original payment method.

10. Payment Authorization and Fraud Review

You authorize us and our payment providers to charge the payment method you submit for the total shown at checkout, including applicable taxes, shipping, and approved fees. You represent that you are authorized to use that method and that billing information is accurate.

Transactions may be screened for fraud, sanctions, identity, address, chargeback, and policy risk. We may request documentation, delay fulfillment, void an authorization, cancel an order, or limit payment options. Payment providers are independent third parties governed by their own terms. We do not guarantee acceptance of any payment method.

You agree not to initiate an improper chargeback or payment dispute. This does not limit good-faith rights under card-network rules or law.

11. Shipping, Delivery, Title, and Risk of Loss

11.1 Processing and Shipping Timeline

Orders are ordinarily prepared within 2 business days after acceptance, subject to verification, inventory, weekends, holidays, weather, and other delays. Any delivery date is an estimate unless expressly guaranteed in writing.

11.2 Address Accuracy

You are responsible for providing a complete, accurate, deliverable address and any required unit, access, or signature information. Contact us promptly if an address is incorrect. We cannot guarantee a change after order processing begins. Additional costs caused by an inaccurate or undeliverable address may be charged where lawful.

11.3 Carrier Delays and Delivery

Carriers are independent third parties. Tracking events, weather, service disruptions, theft, misdelivery, and carrier delays may be outside our control. Follow the posted Shipping Policy for reporting missing or damaged packages within the stated period.

11.4 Geographic and Carrier Limits

We ship only to eligible United States addresses and may exclude P.O. boxes, freight forwarders, reshippers, restricted states or territories, or addresses that cannot meet carrier or product-handling requirements.

12. Product Availability and Substitutions

Products, batches, sizes, packaging, and quantities may be limited or discontinued. We will not materially substitute a different product without your authorization. Nonmaterial packaging changes may occur, but batch identifiers and required information should remain traceable as applicable.

Images are illustrative and displays may vary. No appearance, image, or description overrides verified batch documentation or required labeling.

13. Certificates of Analysis and Testing Information

A certificate of analysis (“COA”) or other testing information, if provided, relates only to the identified sample, batch, analyte, method, laboratory, date, and conditions stated in that record. Results may have measurement uncertainty, detection limits, sampling constraints, method limitations, and laboratory qualifications. A COA must not be treated as a guarantee regarding every unit or any unstated attribute.

Unless separately substantiated and expressly stated, a COA does not establish FDA approval, legal status, safety, sterility, freedom from all contaminants, stability through any period, suitability for a particular purpose, clinical performance, or appropriateness for human or veterinary use. Do not alter, detach, misrepresent, or apply a COA to a different product or batch.

We may correct clerical errors, replace superseded records, or investigate discrepancies. Material changes should be documented. Questions should be directed to support@vorzexlabs.com

15. Customer Representations and Responsibilities

By ordering, you represent and warrant that: (a) all information you provide is truthful; (b) you are eligible and located in an approved jurisdiction; (c) your purchase, possession, handling, storage, transfer, and use will comply with law; (d) you have appropriate facilities, training, supervision, procedures, and protective measures for the stated use; (e) you will follow applicable labeling and documentation; and (f) you will not use, market, transfer, or resell a product for an unauthorized or prohibited purpose.

You are responsible for evaluating legal requirements and hazards applicable to your circumstances. We may require additional institutional, professional, or end-use documentation, but any review does not transfer your responsibilities to us.

16. Prohibited Conduct

You may not misuse the Site; violate law; infringe rights; provide false information; evade age, geographic, quantity, payment, or account controls; purchase for prohibited human or veterinary use; divert or resell products contrary to stated restrictions; scrape or harvest data without authorization; introduce malware; interfere with security; reverse engineer protected Site features; impersonate another person; or use content to create misleading product, test, regulatory, or approval claims.

You may not use our name, marks, COAs, images, or documents to suggest sponsorship, authorization, regulatory status, or product attributes that we have not expressly confirmed in writing.

17. Intellectual Property

The Site and its text, graphics, logos, icons, product presentation, compilation, software, and other content are owned by or licensed to Vorzex Labs and protected by applicable intellectual-property laws. Vorzex Labs and associated marks may not be used without prior written permission.

You may make a reasonable personal copy of order records or policies. No other license is granted. Feedback you voluntarily provide may be used without restriction or compensation, subject to our Privacy Policy and applicable law.

18. Third-Party Services and Links

The Site may rely on or link to payment processors, carriers, analytics providers, hosting services, identity or fraud vendors, social platforms, and other third parties. Their services and terms are separate. We do not control and are not responsible for third-party content, availability, security, representations, or practices, except to the extent responsibility cannot lawfully be disclaimed.

A link, integration, payment option, or hosting arrangement does not constitute regulatory approval or confirmation that any product or transaction is permitted under a third party’s acceptable-use policy.

19. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, CONTENT, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPLETE; THAT INFORMATION WILL ALWAYS BE CURRENT; OR THAT A PRODUCT IS LAWFUL, FDA-APPROVED, SAFE, PURE, STERILE, OR SUITABLE FOR ANY PURPOSE UNLESS A SPECIFIC REPRESENTATION IS SEPARATELY MADE, LAWFUL, AND SUBSTANTIATED. 

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VORZEX AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS; OR DAMAGES ARISING FROM UNAUTHORIZED OR PROHIBITED USE, EVEN IF ADVISED OF THE POSSIBILITY.

21. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Vorzex Labs and its affiliates, personnel, and service providers from third-party claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from your unlawful or prohibited use; breach of these Terms; misrepresentation; infringement; handling, transfer, resale, or use outside stated restrictions; or violation of another person’s rights.

Vorzex will provide reasonable notice and may control the defense and settlement.

22. Electronic Communications and Marketing

You consent to receive transactional electronic communications relating to accounts, orders, policies, security, and customer service. You agree that electronic records, notices, and signatures satisfy applicable writing requirements, subject to any legally required consent process and your right to retain or request records.

Marketing consent is separate from acceptance of these Terms and should not be preselected or required as a condition of purchase unless lawful. Marketing messages will be governed by the signup disclosure, our Privacy Policy, and applicable law. You may unsubscribe through the method provided, but may continue to receive nonmarketing transactional messages.

23. Privacy Policy Incorporation

Our Privacy Policy, available at the Site, explains how we collect, use, disclose, retain, and protect personal information and is incorporated by reference to the extent permitted by law. If these Terms conflict with the Privacy Policy concerning personal-information practices, the Privacy Policy controls unless law requires otherwise.

Do not submit sensitive medical information through ordinary Site fields or customer-service channels unless a feature expressly requests it and appropriate notices and safeguards are in place.

24. Suspension and Termination

We may suspend, restrict, or terminate Site or account access, cancel pending orders before acceptance, or decline future transactions when reasonably necessary for security, fraud prevention, legal compliance, policy enforcement, misuse, payment risk, or protection of persons or systems. Where appropriate and lawful, we may provide notice and an opportunity to contact support.

Provisions that by their nature should survive termination—including payment obligations, intellectual property, disclaimers, limitations, indemnification, dispute provisions, and general terms—will survive.

25. Force Majeure

Neither party will be liable for delay or failure caused by events beyond reasonable control, including natural disaster, severe weather, fire, epidemic, war, terrorism, civil disorder, labor disruption, transportation or carrier failure, cyberattack, utility or internet failure, governmental action, embargo, shortage, recall, or supply-chain interruption, except that this provision does not excuse payment already due or obligations that cannot lawfully be excused.

The affected party should use commercially reasonable efforts to mitigate and resume performance. If delay is prolonged, available cancellation or refund rights will be determined under applicable law and posted policies.

26. Governing Law

These Terms and disputes arising from them are governed by the laws of the State of Texas, without regard to conflict-of-laws principles, except to the extent federal law applies or another jurisdiction’s nonwaivable consumer-protection law controls.

27. General Provisions

27.1 Severability

If a provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent or severed, and the remaining provisions will continue, unless doing so would materially defeat the agreement’s purpose.

27.2 Waiver

A failure or delay in enforcing a right is not a waiver. A waiver must be in writing and applies only to the specific instance.

27.3 Assignment

You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, reorganization, asset transfer, financing, or operation by an affiliate, subject to applicable law and without reducing nonwaivable rights.

27.4 Entire Agreement

These Terms, the Privacy Policy, and policies expressly incorporated at the relevant transaction constitute the entire agreement concerning their subject matter and supersede prior communications on that subject. Product-specific terms control only for that product and only to the extent expressly stated.

27.5 Changes to Terms

We may update these Terms prospectively. The revised version will state a new effective date and be posted on the Site. Material changes will be communicated as required by law. Changes do not retroactively alter an accepted order or existing dispute unless lawfully agreed.

27.6 Interpretation

‘Including’ means ‘including without limitation.’ Singular includes plural where context permits. No ambiguity will be construed against a party solely because that party drafted the text.
